On 26 February 2025, the European Commission published its first omnibus proposal, known as the Sustainability Omnibus. This initiative responds to the increasing regulatory burden on businesses while aiming to strengthen competitiveness.

The Omnibus Regulation is a rarely used EU instrument that allows multiple legal acts to be consolidated and revised within a single legislative procedure. The following regulations are affected:

• the Corporate Sustainability Due Diligence Directive (CS3D)
• the Corporate Sustainability Reporting Directive (CSRD)
• the EU Taxonomy Regulation
• the Carbon Border Adjustment Mechanism (CBAM)

At the end of April 2025, the “Stop-the-clock” proposal was adopted: implementation of the CSRD for the second wave of affected companies will be postponed by two years, and the CS3D by one year. These changes have been published in the Official Journal of the European Union.

The key question now is: What specific amendments will be made to the legal acts, and to what extent will companies need to implement them? One of the Commission’s main focuses is on significantly raising the thresholds for employee numbers under CSRD and CS3D, in order to reduce the number of companies directly affected. Further substantive changes are currently under discussion.
